1. Acceptance of these Terms

1.1 These Terms of Service (the "Terms") govern your access to and use of the website located at https://adonisgroup.io and any subdomain, page, feature, or related service operated by Adonis Group LLC (collectively, the "Site"). "Adonis", "we", "us", and "our" refer to Adonis Group LLC. "You" refers to the individual or entity accessing the Site.

1.2 By accessing or using the Site you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Cookie Policy, each of which is incorporated here by reference. If you do not agree, you must not access or use the Site.

1.3 The Site is informational and exists to present Adonis Group LLC, its portfolio brands, and ways to contact us. The Site does not sell goods to consumers. Any purchase of products is made on the consumer-facing website of the relevant portfolio brand, under that brand's own terms and conditions, and is not governed by these Terms.

2. The Adonis entity

2.1 The Site is operated by Adonis Group LLC, a limited liability company formed under the laws of the State of Wyoming, with its principal place of business at the address below. Adonis Group LLC is the entity responsible for the Site.

3. Eligibility

3.1 You must be at least eighteen (18) years old, or the age of legal majority in your jurisdiction if higher, to use the Site. By using the Site you represent and warrant that you meet this requirement.

3.2 The Site is not directed to children under the age of thirteen (13). We do not knowingly collect personal information from children under thirteen, as further described in our Privacy Policy.

3.3 If you are using the Site on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and references to "you" include both you and that organization.

4. License to use the Site

4.1 Subject to your continued compliance with these Terms, Adonis Group LLC grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view the Site for lawful personal or internal business purposes.

4.2 This license does not grant you any right to copy, reproduce, republish, upload, post, transmit, distribute, modify, translate, create derivative works of, publicly display, perform, sell, license, rent, or otherwise commercially exploit any part of the Site or its content, except as expressly permitted in writing by Adonis Group LLC or as allowed by applicable law.

5. Prohibited conduct

5.1 You agree not to use the Site in any way that:

• violates any applicable federal, state, local, or international law or regulation;
• infringes or misappropriates any intellectual property, privacy, publicity, or other right of Adonis Group LLC or any third party;
• is fraudulent, deceptive, harassing, threatening, defamatory, obscene, or otherwise objectionable;
• attempts to interfere with, disrupt, or circumvent the security, integrity, or proper functioning of the Site;
• uses any automated means — including bots, scrapers, crawlers, or harvesters — to access, monitor, or copy the Site, except for public search engines complying with our robots.txt;
• reverse-engineers, decompiles, or attempts to derive the source code of any portion of the Site;
• imposes an unreasonable or disproportionately large load on our infrastructure, including denial-of-service or distributed-denial-of-service attempts;
• impersonates any person or entity or misrepresents your affiliation with a person or entity;
• collects or stores personal data of other users without their consent.

5.2 We may suspend, restrict, or terminate your access to the Site at any time, without notice and without liability, if we reasonably believe you have breached these Terms or that your access poses a security, legal, or operational risk.

6. User-generated content

6.1 The Site may, from time to time, allow you to submit content such as inquiries through a contact form, replies to an email, or other communications ("Submissions"). You are solely responsible for your Submissions and for any consequences arising from them.

6.2 You represent and warrant that, for each Submission you make:

• you own or have all rights necessary to provide that Submission to Adonis Group LLC;
• the Submission does not infringe any intellectual property, privacy, publicity, contractual, or other right of any third party;
• the Submission is accurate, not misleading, and not defamatory, obscene, threatening, harassing, or otherwise unlawful;
• the Submission does not contain unsolicited advertising, chain letters, malware, or commercial solicitations not consented to by Adonis Group LLC.

6.3 By making a Submission you grant Adonis Group LLC a worldwide, royalty-free, fully paid-up, non-exclusive, sublicensable, perpetual, irrevocable license to use, host, store, reproduce, modify, create derivative works of, communicate, publish, publicly perform, publicly display, and distribute the Submission for purposes related to operating, developing, and promoting Adonis Group LLC and its portfolio brands. You waive, to the maximum extent permitted by law, any moral rights you may have in any Submission.

6.4 We have no obligation to monitor or moderate Submissions, but we reserve the right to remove or refuse any Submission at our sole discretion, with or without notice.

7. Intellectual property

7.1 The Site and all of its content — including text, graphics, photographs, illustrations, logos, icons, images, audio and video clips, software, and the selection, arrangement, and presentation thereof (collectively, the "Content") — are owned by or licensed to Adonis Group LLC and are protected by United States and international copyright, trademark, trade-dress, patent, and other intellectual-property laws.

7.2 "Adonis Group", the Adonis Group logo, and the names and logos of our portfolio brands are trademarks or service marks of Adonis Group LLC or its affiliates. Nothing on the Site grants you any license or right to use any such mark without our prior written consent.

7.3 All rights not expressly granted in these Terms are reserved by Adonis Group LLC and its licensors.

8. Third-party links and content

8.1 The Site may contain links to third-party websites, products, or services that are not owned or controlled by Adonis Group LLC, including the consumer-facing storefronts of our portfolio brands. Such links are provided for convenience only.

8.2 Adonis Group LLC does not endorse, sponsor, or assume any responsibility for the content, privacy practices, or operations of any third-party site or service. Your access to and use of any third-party site or service is at your own risk and is governed solely by that third party's terms and policies.

9. DMCA notice and takedown

9.1 Adonis Group LLC respects the intellectual-property rights of others and expects users of the Site to do the same. In accordance with the Digital Millennium Copyright Act, 17 U.S.C. § 512 ("DMCA"), we will respond to clear notices of alleged copyright infringement that comply with the requirements set out below.

9.2 To submit a notice, send a written communication to our designated DMCA agent including:

• a physical or electronic signature of a person authorized to act on behalf of the copyright owner;
• identification of the copyrighted work claimed to have been infringed;
• identification of the allegedly infringing material and information sufficient for us to locate it on the Site;
• your contact information (name, address, telephone number, and email);
• a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
• a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

9.3 Knowingly submitting a materially false notice may result in liability for damages, including costs and attorneys' fees, under 17 U.S.C. § 512(f).

10. Disclaimers

10.1 THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADONIS GROUP LLC DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.2 ADONIS GROUP LLC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10.3 Information on the Site about Adonis Group LLC and its portfolio brands is provided for general informational purposes only and does not constitute legal, financial, investment, or professional advice.

11. Limitation of liability

11.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ADONIS GROUP LLC, ITS AFFILIATES, OR ANY OF THEIR RESPECTIVE OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE SITE, EVEN IF ADONIS GROUP LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 IN ANY EVENT, THE TOTAL AGGREGATE LIABILITY OF ADONIS GROUP LLC ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100), OR THE AMOUNT YOU PAID TO ADONIS GROUP LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.

11.3 Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the smallest extent permitted by law.

12. Indemnification

12.1 You agree to defend, indemnify, and hold harmless Adonis Group LLC, its affiliates, and their respective officers, members, managers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to (a) your access to or use of the Site, (b) your Submissions, (c) your breach of these Terms, or (d) your violation of any law or third-party right.

13. Governing law and venue

13.1 These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms or the Site, are governed by and construed in accordance with the laws of the State of Wyoming, without giving effect to its conflict-of-laws principles, and by applicable federal laws of the United States.

13.2 Subject to Section 14 (Binding arbitration), the state and federal courts located in Wyoming have exclusive jurisdiction over any action that is not subject to arbitration, and you consent to the personal jurisdiction of those courts and waive any objection based on forum non conveniens.

13.3 The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

14. Binding arbitration and class waiver

14.1 Please read this section carefully — it affects your legal rights. Except for the carve-outs in Section 14.5, you and Adonis Group LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or our relationship (a "Dispute") will be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (the "AAA") under its Consumer Arbitration Rules then in effect.

14.2 The arbitration will be conducted by a single arbitrator in Cheyenne, Wyoming, or remotely if both parties agree. The arbitrator has exclusive authority to decide all issues, including the scope and enforceability of this arbitration agreement. The arbitrator's award is final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class-action waiver. You and Adonis Group LLC agree that each party may bring claims against the other only on an individual basis and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate the claims of more than one person and may not preside over any form of representative proceeding.

14.4 Jury-trial waiver. To the maximum extent permitted by law, you and Adonis Group LLC waive any right to a trial by jury in any proceeding arising out of or relating to these Terms.

14.5 Carve-outs. Nothing in this section prevents either party from (a) bringing an individual action in small-claims court for a Dispute within the court's jurisdiction, (b) seeking injunctive or equitable relief in a court of competent jurisdiction to protect intellectual-property rights, or (c) pursuing claims that, by law, may not be subject to arbitration.

14.6 30-day opt-out. You may opt out of this arbitration agreement by sending a written notice to legal@adonisgroup.io within thirty (30) days after first accepting these Terms, including your full name, mailing address, and an unambiguous statement that you wish to opt out. Opting out has no effect on any other provision of these Terms.

14.7 This arbitration agreement is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1 et seq. If any portion of this Section 14 is found unenforceable, the remainder will continue in force, except that if the class-action waiver is found unenforceable, this Section 14 will be void in its entirety.

15. Electronic communications

15.1 By using the Site or contacting us electronically, you consent to receive communications from Adonis Group LLC in electronic form (including email and notices posted on the Site) and agree that such electronic communications satisfy any legal requirement that a communication be in writing.

15.2 If we send you commercial email, we will comply with the CAN-SPAM Act, 15 U.S.C. §§ 7701 et seq. Every commercial email will include a working unsubscribe mechanism and our valid postal address.

15.3 If we ever offer SMS or text-message communications, those messages will be governed by a separate consent flow that complies with the Telephone Consumer Protection Act, 47 U.S.C. § 227, including the right to reply "STOP" to opt out.

16. Changes to these Terms

16.1 We may modify these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and, for material changes, take reasonable steps to bring the update to your attention.

16.2 Your continued access to or use of the Site after the effective date of any update constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Site.

17. General provisions

17.1 Entire agreement. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Adonis Group LLC concerning the Site and supersede all prior or contemporaneous communications.

17.2 Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force.

17.3 No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

17.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to any successor or affiliate, including in connection with a merger, acquisition, or sale of assets.

17.5 Force majeure. Adonis Group LLC is not liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, or governmental action.

17.6 Accessibility. Adonis Group LLC is committed to making the Site accessible to the widest possible audience and targets substantial conformance with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA.
